Terms of Service

1. Acceptance of Terms

By accessing or using Recipo ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Recipo is an AI-powered receipt processing platform that provides:

• Optical Character Recognition (OCR) for receipt digitization
• Automated data extraction and categorization
• Batch processing and management
• Export functionality in multiple formats (Excel, CSV, PDF, JSON)
• Team collaboration features
• API access for enterprise integrations

3. Account Registration

3.1 Account Creation

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password confidential and secure
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Service. The Service is intended for business and professional use.

4. Subscription Plans and Billing

4.1 Plans

Recipo offers various subscription plans with different features and limits:

• Freemium: 25 receipts total, 1 user
• Freelancer: 500 receipts/month, starting at 1 user
• Small Office: 1,000 receipts/month, starting at 3 users
• Business: 5,000 receipts/month, starting at 5 users, ERP Integration
• Enterprise: Unlimited receipts, starting at 10 users, ERP Integration

4.2 Billing

• Subscriptions are billed monthly or annually in advance
• All fees are non-refundable unless otherwise stated
• Prices are subject to change with 30 days notice
• You authorize us to charge your payment method on file

4.3 Plan Changes

• Upgrades: Take effect immediately with prorated charges
• Downgrades: Take effect at the next billing cycle
• Cancellation: Access continues until the end of the current billing period

4.4 Free Trial

We may offer free trials at our discretion. At the end of the trial, your account will automatically convert to a paid subscription unless cancelled. You will be notified before any charges are made.

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful business purposes in accordance with these Terms.

5.2 Prohibited Activities

You agree NOT to:

• Upload content that violates any law or third-party rights
• Attempt to gain unauthorized access to the Service or other accounts
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use the Service for any fraudulent or illegal purpose
• Upload malware, viruses, or malicious code
• Scrape, crawl, or use automated tools to access the Service
• Resell or redistribute the Service without authorization
• Exceed your plan's usage limits through technical manipulation

6. Intellectual Property

6.1 Our Property

The Service, including all software, designs, text, graphics, and other content, is owned by Recipo and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

6.2 Your Content

You retain ownership of all content you upload ("User Content"). By uploading content, you grant us a limited license to:

• Process, store, and display your content to provide the Service
• Use anonymized, aggregated data to improve our AI and services
• Create backups for data protection purposes

You represent that you have all necessary rights to upload your content and that it does not infringe any third-party rights.

7. Data Processing and AI

7.1 AI Processing

Our Service uses artificial intelligence and machine learning to process receipts. You acknowledge that:

• AI-generated results may contain errors and should be verified
• We continuously improve our AI models using aggregated, anonymized data
• Processing times may vary based on system load and complexity

7.2 Accuracy Disclaimer

While we strive for high accuracy, OCR technology has inherent limitations. You are responsible for reviewing and verifying extracted data before using it for financial, tax, or legal purposes.

8. Service Availability

8.1 Uptime

We aim for 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice when possible.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice for significant changes affecting your use of the Service.

You agree to indemnify and hold harmless Recipo, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

12.1 By You

You may cancel your subscription at any time through your account settings. Access continues until the end of your current billing period.

12.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay fees when due
• Engage in fraudulent or illegal activity
• Create risk or legal exposure for us

12.3 Effect of Termination

Upon termination, your right to use the Service ends immediately. You may export your data before termination. We will retain your data for 90 days after termination, after which it may be deleted.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of the Republic of Turkey, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes shall be resolved through:

1. Negotiation: Good faith discussions to resolve the dispute
2. Mediation: If negotiation fails, through a mutually agreed mediator
3. Arbitration: Binding arbitration in Istanbul, Turkey under ISTAC rules

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Recipo.

14.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

14.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

14.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations to any affiliate or successor in interest.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or prominent notice on the Service. Continued use after changes take effect constitutes acceptance of the updated Terms.
